Preserving Privacy Contracts: A Safe Way to Prevent Disclosure of Confidential Information of Intellectual Property Right Holders

Abstract

Intellectual property right holders, especially inventors, are often faced with the challenge of disclosing confidential information that they provide to third parties during the course of exploitation license contracts which starts with the creation of the ideas until commercializing them. The main purpose of preserving privacy contracts is to protect various types of intellectual property such as technical knowledge, trade secrets, etc. in order to provide an accurate and efficient management and monitoring how they can be operated. The use of non-disclosure agreement is very common in the field of advanced technologies, especially for computer and Internet companies during the process of exploitation license contract. On the other hand, in the process of obtaining intellectual property protections, researchers and inventors of knowledge-based companies may also face challenges such as disclosure of confidential information. The important thing is the inventors' lack of knowledge about how such a contract is made. In the provision of confidential information, the non-disclosure agreement only covers confidential information and will be signed prior to the exploitation license contractor during negotiations for protecting them. Signing and concluding such contracts, in case of lack of awareness of its rules and features may result in dangerous and heavy obligations. In this paper, we define the necessity, performance, and types of the non-disclosure agreement and the usual conditions for it with an analytical-descriptive outlook. The results of this paper highlight the need for accurate and efficient legal information to intellectual property holders in the area of signing Confidentiality Contract and to reform the current legal structure to protect the rights of these individuals.
